Case History

Neuman Group LLC

Practice Area: Real Estate

Description: Neuman Group, LLC invests in real estate projects, primarily on the residential side. The company came to Schleiffarth Law Firm in anticipation of entering into an installment contract transaction, wherein Neuman Group would purchase real estate and then enter into an installment contract with third party purchasers. The installment contract called for regular payments of principal and interest to the company and delayed the transfer of the deed until full payment was received at the end of the term.

Outcome: Jim Schleiffarth worked with Neuman Group to structure the transaction and thoroughly protect the company’s interests. Jim Schleiffarth explained the legal intricacies of the transaction and prepared a customized installment contract, together with all the necessary transfer deed documentation. Schleiffarth Law Firm also served as the escrow agent in the transaction, holding all of the transfer documents in escrow for the term of the transaction. Closing occurred at the office of Schleiffarth Law Firm and Mr. Schleiffarth facilitated the closing of the transaction with both parties.

Provident Development Group, LLC

Practice Area: Real Estate

Description: Provident Development Group buys under-utilized properties and works with end-line buyers to rehabilitate the property for the final sale. In the course of the project, the company works with various contractors to handle the actual labor and also works hand-in-hand with lenders to provide the financing for the project. Provident Development Group came to Schleiffarth Law Firm to structure an agreement that allowed the company to take its management fee from the loan proceeds and spelled out the obligations of the purchaser and the company.

Outcome: Our firm worked with Provident Development Group to develop a straightforward, yet detailed and comprehensive contract that protected the company’s interests and assured its upfront payment. Lauded by both the company and its regular institutional lenders, our project management contract provides the backbone for Provident Development Group’s rehabilitation transactions. Our firm later prepared another unique agreement for another type of rehabilitation project undertaken by the company.

Hescape LLC

Description: A group of first-time real estate investors were beginning the process of buying properties and improving/developing these properties, with the final intention of leasing some and selling some. Working with no formal company structure and with only simplified form contracts, the investors sought the advice of Schleiffarth Law Firm as they moved forward.

Outcome: Jim Schleiffarth prepared several contracts addressing several unique situations which the investors were buying or leasing property. The contracts were tailored to the needs and interests of their newly formed company, protecting the company and its investors and ensuring that its goals and expectations were met. These contracts were prepared for repeated future use. Additionally, our firm helped the investors form an LLC and agree on terms of a company operating agreement.

Mitch Schuetter

Description: As an owner of rental properties in St. Louis City, Mitch had run into city inspection difficulties and faced substantial fines due to unauthorized squatters using a currently vacant property. Unpaid fees had lead to an arrest warrant being issued for a former trustee of the trust that had held the deed to the property.

Outcome: Schleiffarth Law Firm worked directly with the City Counselor's office to have the arrest warrant revoked. Handling the matter before the City Court, the firm was able to get several months of additional time for Mitch to take care of the unauthorized users of the property.

Commercial Property Assemblage

Practice Area: Real Estate

Description: As a developer putting together a substantial project in St. Louis County, the client faced significant use restrictions on several recently purchased components of a development. The restrictions prohibited the intended development of the property.

Outcome: Jim Schleiffarth worked with the client to put together an application to the St. Louis County Board of Zoning Adjustment petitioning for a set of multiple variances regarding lot coverage and boundary setback limitations. With county zoning approval, the project would be able to move forward toward the final development goal.

John and Diane Griffin

Practice Area: Real Estate

Description: John and Diane faced several title related problems with their lender and previous owner. When they had purchased the property, the incorrecy Seller was listed on the deed and there was, as a consequence, a problem with John and Diane's current title.

Outcome: Our firm negotiated the proper steps to fix the deed problem with the prior owner and lender. Jim Schleiffarth prepared the needed paperwork, worked out all the details with the prior owners' attorney and provided a timely and thorough resolution to the issue.

Jason and Sara Richards

Practice Area: Purchase Sale Agreements

Description: Jason and Sara were purchasing a residential home, in which they has resided as renters for several years. With little familiarity with the purchasing process and potential pitfalls, the Richards cam to Schleiffarth Law Firm for assistance in purchasing the home.

Outcome: Jim Schleiffarth guided the Richards from beginning stages of purchase all the way to closing. Mr. Schleiffarth prepared the purchase contract, worked directly with the title company for the Richards, reviewed all closing documents and answered many questions along the way. The Richards were very pleased with the results as they became first-time home buyers and saved thousands of dollars in the process.
